Membership Agreement

1. 本規約は、株式会社ジョレックス（以下「当社」といいます）が運営するオンラインストアおよびライブ配信による商品販売サービス（以下「本サービス」といいます）の会員登録および会員資格に関する条件を定めるものです。
2. 商品の購入には利用規約が、ライブ配信による購入にはあわせてライブ販売特則が適用されます。本規約と利用規約の内容が異なる場合は、利用規約が優先します。

1. 会員とは、本規約に同意のうえ、当社所定の方法でウェブサイトにアカウントを登録した個人をいいます。
2. 会員登録は、18歳以上の方に限ります。
3. 会員は、正確かつ最新の情報を登録し、内容に変更があった場合は速やかに更新するものとします。
4. 当社は、申込者が過去に会員資格を抹消されたことがある場合、その他当社が適当でないと判断する合理的な理由がある場合、登録をお断りすることができます。
5. 同業者および法人のお客様は、ウェブサイトから会員登録することはできません。電子メール（info@jolex.jp）で当社に個別に申し込むものとし、取引の条件は当社と個別に定めます。
6. ライブ販売で商品を購入したお客様は、購入の際に提供したお届け先等の情報により、ライブ販売の会員（以下「ライブ会員」といいます）として登録されます。ライブ会員は、ウェブサイトの会員とは別のものです。
7. ライブ会員は、電子メールで当社に連絡するか、配信者に申し出ることにより、ウェブサイトの会員に切り替えることができます。申出がない限り、切り替えは行いません。
8. 淘宝（タオバオ）その他の配信プラットフォームの会員資格は、当該プラットフォームでライブ配信を視聴し、イベントに参加するためのものであり、本規約の会員およびライブ会員とは関係がありません。
9. 第5条から第9条までの規定は、ライブ会員にも適用されます。

1. 会員は、自己のアカウントおよびパスワードを自らの責任で管理するものとします。
2. 会員は、アカウントを第三者に利用させ、貸与し、または譲渡することはできません。
3. アカウントを用いて行われた行為は、その会員による行為とみなします。ただし、当社の責めに帰すべき事由による場合を除きます。
4. 会員は、アカウントが不正に利用されたことを知った場合、直ちに当社に連絡するものとします。

1. 会員は、マイページの退会手続により、または電子メール（info@jolex.jp）で当社に連絡することにより、いつでも退会することができます。
2. 退会は、退会の時点で既に成立している売買契約に影響しません。支払い、発送および返品については、引き続き利用規約が適用されます。

会員は、次の行為をしてはなりません。

1. 利用規約、ライブ販売特則または本規約に違反する行為
2. 虚偽または誤解を招く情報を登録する行為
3. 正当な理由なく複数のアカウントを登録する行為
4. 不正な決済手段を利用する行為、または支払う意思なく注文する行為
5. ライブ配信において、配信者を誹謗中傷し、暴言を吐き、その他商品紹介を妨げる行為
6. 当社または第三者に迷惑、損害または不利益を与える行為
7. 当社のシステムに不正にアクセスする行為、コンピュータウイルス等の有害なプログラムを送信する行為、その他本サービスの運営を妨げる行為
8. 当社の名誉または信用を損なう行為
9. 公序良俗または法令に違反する行為

1. 会員が次のいずれかに該当する場合、当社は事前の通知なく、本サービスの利用を停止し、または会員資格を抹消することができます。
   • 第5条の禁止事項に該当する行為があった場合
   • ライブ販売において、正当な理由なく支払いをしない行為が2回続いた場合
   • 支払いの不履行または受取拒否を繰り返した場合
   • 暴力団その他の反社会的勢力である場合、または反社会的勢力と関係を有する場合
2. 会員資格を抹消された方は、当社の承諾なく再度登録することはできません。
3. 利用停止または会員資格の抹消の時点で支払済みの注文については、当社は商品を発送するか、注文を取り消して代金を全額返金します。

会員が本規約に違反し、当社または第三者に損害を与えた場合、その会員は当該損害を賠償する責任を負います。

当社は、会員の個人情報を当社のプライバシーポリシーに従って取り扱います。

1. 当社は、システムの保守、通信回線やサーバーの障害、天災その他やむを得ない事由がある場合、事前の通知なく本サービスの全部または一部を中断することができます。
2. 前項の中断または会員データの消失により会員に生じた損害について、当社は、当社に故意または重大な過失がある場合を除き、責任を負いません。
3. 会員と他の会員または第三者との間で生じた紛争は、当事者間で解決するものとします。
4. 本規約の定めは、消費者契約法その他の強行法規に反する限度では適用されません。

1. 当社は、必要と判断した場合、本規約を変更することができます。
2. 変更する場合、当社は変更内容および効力発生日を、効力発生日の14日前までに当社ウェブサイトに掲示します。

1. 本規約は、日本法に準拠し、日本法に従って解釈されます。
2. 本規約に関する一切の紛争は、大阪地方裁判所または大阪簡易裁判所を第一審の専属的合意管轄裁判所とします。

本規約は日本語を正本とします。他の言語による訳文は参考であり、内容が異なる場合は日本語版が優先します。

1. This Agreement sets out the conditions for membership registration and membership of the online store and live-stream sales service (the “Service”) operated by JOLEX Co., Ltd. (the “Company”).
2. Purchases of items are governed by the Terms of Service, and purchases through live streaming are also governed by the Live Sales Special Terms. If this Agreement and the Terms of Service differ, the Terms of Service prevail.

1. A member is an individual who has agreed to this Agreement and registered an account on the website in the manner specified by the Company.
2. Membership registration is limited to persons aged 18 or over.
3. Members must register accurate and up-to-date information and update it promptly if it changes.
4. The Company may refuse a registration if the applicant has previously had a membership cancelled, or if the Company has other reasonable grounds to consider the registration inappropriate.
5. Trade customers and companies cannot register as members through the website. They must apply to the Company individually by email (info@jolex.jp), and the terms of trading are agreed separately with the Company.
6. A customer who buys an item through Live Sales is registered as a Live Sales member (a “Live Member”) based on the delivery address and other information provided at the time of purchase. Live Members are separate from website members.
7. A Live Member may switch to website membership by contacting the Company by email or by telling the host. Unless the Live Member asks, no switch is made.
8. Membership of Taobao or another Streaming Platform is for viewing live streams and taking part in events on that platform. It is unrelated to membership under this Agreement and to Live Membership.
9. Articles 5 to 9 also apply to Live Members.

1. Members are responsible for managing their own account and password.
2. Members may not allow a third party to use their account, and may not lend or transfer it.
3. Acts carried out using an account are deemed to be acts of that member, except where they result from causes attributable to the Company.
4. A member who learns that their account has been used without authorisation must contact the Company immediately.

1. A member may withdraw at any time through the withdrawal procedure on My Page, or by contacting the Company by email (info@jolex.jp).
2. Withdrawal does not affect sales contracts already formed at the time of withdrawal. The Terms of Service continue to apply to payment, shipping and returns.

Members must not do any of the following.

1. Breach the Terms of Service, the Live Sales Special Terms or this Agreement
2. Register false or misleading information
3. Register more than one account without good reason
4. Use an improper means of payment, or place an order with no intention of paying
5. Insult or defame the host during a live stream, or otherwise interfere with the presentation of items
6. Cause nuisance, damage or disadvantage to the Company or a third party
7. Gain unauthorised access to the Company’s systems, send harmful programs such as computer viruses, or otherwise interfere with the operation of the Service
8. Damage the reputation or credit of the Company
9. Act contrary to public order and morals or to laws and regulations

1. The Company may suspend a member’s use of the Service or cancel the membership without prior notice in any of the following cases.
   • The member commits a prohibited act under Article 5
   • In Live Sales, the member fails to pay without good reason on two consecutive occasions
   • The member repeatedly fails to pay or refuses to accept delivery
   • The member is an organised crime group or other anti-social force, or has a relationship with such a force
2. A person whose membership has been cancelled may not register again without the Company’s consent.
3. For orders already paid at the time of suspension or cancellation, the Company will either ship the item or cancel the order and refund the full price.

A member who breaches this Agreement and causes damage to the Company or a third party is liable to compensate for that damage.

The Company handles members’ personal information in accordance with its Privacy Policy.

1. The Company may interrupt all or part of the Service without prior notice for system maintenance, failures of communication lines or servers, natural disasters or other unavoidable reasons.
2. The Company is not liable for damage suffered by a member as a result of such an interruption or of the loss of member data, except in cases of wilful misconduct or gross negligence by the Company.
3. Disputes between a member and another member or a third party are to be resolved between the parties concerned.
4. The provisions of this Agreement do not apply to the extent that they conflict with the Consumer Contract Act of Japan or other mandatory law.

1. The Company may change this Agreement when it considers it necessary.
2. The Company will post the changes and their effective date on its website at least 14 days before the effective date.

1. This Agreement is governed by and interpreted in accordance with the laws of Japan.
2. The Osaka District Court or the Osaka Summary Court has exclusive jurisdiction as the court of first instance over any dispute relating to this Agreement.

The Japanese version of this Agreement is the authoritative text. Translations into other languages are for reference only, and the Japanese version prevails if they differ.
